Available Now: Shareholder Activism Database

Audit Analytics new Shareholder Activism search is now available to users of the Corporate + Legal Module. It is now possible for users to search Audit Analytics extensive database of SC-13D filings and view information about a corporation's activist shareholders, their stake in the company and their probable intentions.

In the wake of the recent financial crisis, shareholder activism is likely to increase in both frequency and importance. Changes made to SEC rule 452, which reclassifies uncontested director elections as "non-routine" business, will increase shareholder activism because Broker Dealers may no longer vote their client shares on these matters without specific instructions.

Also, proposed new Exchange Act Rule 14a-11's proxy access provision is likely to make shareholder activism easier for more investors.

In addition, shareholder activism is changing with momentum shifting away from simple value extraction toward seeking a greater role in corporate governance and oversight (please refer to our May 2009 Activist Shareholder Analysis).
